Account Suspension & Termination Policy

1. Suspension by Us

We may suspend an account, a feature, or specific Connected Accounts where reasonably necessary due to:

• material breach of the Terms or Acceptable Use Policy;
• API abuse — attempts to circumvent rate limits, scraping in breach of Marketplace terms, credential misuse, or automated attacks;
• suspected fraud, unlawful activity, or security compromise of the account;
• non-payment of undisputed fees after 7 days' written notice;
• a binding order of a court, Marketplace requirement, or legal obligation;
• serious risk to the Service, other customers, or Marketplace relationships.

Where practicable we give prior notice and an opportunity to cure; for security, fraud or legal-order situations we may suspend first and notify promptly after.

2. Effect of Suspension

Access is blocked; scheduled syncs pause; data is preserved; subscription time continues to run except where the suspension is caused by our error (in which case the term is extended or fees credited pro-rata).

3. Reinstatement

Accounts are reinstated promptly once the cause is cured. Contact [SUPPORT_EMAIL — e.g., support@ecom10x.in] with remediation details. Suspensions may be escalated to the Grievance Officer ([GRIEVANCE_OFFICER_EMAIL — e.g., grievance@ecom10x.in]).

4. Termination by You

You may terminate at any time from account settings. Effects: access ends at the close of the paid period (or immediately if you choose); Marketplace tokens are deleted within 24 hours of disconnection; a 30-day export window applies; then deletion proceeds per the Data Deletion Policy. Refunds, if any, follow the Refund & Cancellation Policy.

5. Termination by Us

For cause: immediate termination for uncured material breach (14 days' cure notice for curable breaches), repeated Acceptable Use violations, unlawful use, or where a Marketplace or authority requires it.
Without cause: on 30 days' written notice, with pro-rata refund of prepaid unused fees.

6. Post-Termination

Sections of the Terms intended to survive (IP, confidentiality, liability limits, indemnity, governing law) survive. We retain only what the Data Retention Policy requires.

Governing Law & Dispute Resolution

This document is governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with this document shall first be attempted to be resolved amicably through good-faith negotiation within thirty (30) days of written notice. Failing amicable resolution, the dispute shall be referred to arbitration by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be [JURISDICTION_CITY — e.g., New Delhi], India, and proceedings shall be conducted in English.
