The master agreement governing your use of Ecom10x.

1. Acceptance
These Terms and Conditions ("Terms") form a binding agreement between EcomSarthi Business Solutions LLP and the business entity that registers for Ecom10x ("Customer"). By creating an account, clicking "I agree", or using the Service, you accept these Terms on behalf of the Customer and represent that you are authorised to do so. If you do not agree, do not use the Service.
2. Definitions
- "Service" — the Ecom10x platform, including order management, inventory synchronisation, listing management, price updates, shipment tracking, return management, settlement reports, analytics, automation, notifications, reports, team roles and permissions, and API integrations.
- "Customer Data" — all data submitted to or retrieved by the Service on the Customer's behalf, including Marketplace Data.
- "Marketplace" — a third-party selling platform such as Amazon, Flipkart or Meesho.
- "Authorised User" — an individual invited by the Customer under its team and role settings.
3. The Service
3.1 Ecom10x provides a cloud dashboard that connects to Marketplaces through official integration methods only — including the Amazon Selling Partner API (SP-API), the Flipkart Seller API, Meesho's officially supported seller data mechanisms, and official OAuth authorisation flows. Ecom10x never asks for Marketplace passwords.
3.2 We may add, modify or discontinue features with reasonable notice for material reductions in core functionality.
3.3 Beta or preview features are provided "as is" and may be changed or withdrawn at any time.
4. Accounts, Roles and Security
4.1 The Customer is responsible for the accuracy of registration details, for all activity under its account, and for managing Authorised Users, roles and permissions.
4.2 Credentials must be kept confidential. Passwords must meet the Platform's minimum requirements. The Customer must notify us promptly at [SECURITY_EMAIL — e.g., security@ecom10x.in] of any suspected compromise.
4.3 Sessions may be automatically logged out after inactivity. We may require re-authentication for sensitive operations.
5. Customer Obligations
The Customer shall: (a) use the Service in compliance with law, these Terms, the Acceptable Use Policy, and each Marketplace's seller agreements and developer policies; (b) obtain all consents needed for data it uploads (including buyer personal data contained in order files); (c) not misuse APIs, circumvent rate limits, or attempt unauthorised access; and (d) remain solely responsible for its selling decisions, listings, pricing, tax compliance and fulfilment (see Seller Responsibilities).
6. Marketplace Relationships
6.1 Marketplaces are independent third parties. Ecom10x is not endorsed by, sponsored by, or affiliated with Amazon, Flipkart or Meesho. All Marketplace names, logos and marks belong to their respective owners.
6.2 Marketplace APIs, data availability, and policies may change without notice; features dependent on them may be affected. We will use reasonable efforts to adapt but are not liable for Marketplace-side changes, outages, throttling, suspensions or data errors.
6.3 The Customer authorises Ecom10x to access and act on its Connected Accounts strictly per its instructions and configured automations.
7. Fees and Payment
Paid plans, pricing and billing cycles are described at the time of purchase. Fees are exclusive of GST, which will be charged as applicable. Late payment may lead to suspension after notice. Refunds are governed by the Refund & Cancellation Policy.
8. Intellectual Property
The Service, including software, design, and documentation, is owned by EcomSarthi and its licensors. The Customer receives a limited, non-exclusive, non-transferable licence to use the Service during the subscription term. The Customer retains all rights in Customer Data and grants us a limited licence to process it solely to provide the Service. Aggregated, de-identified statistics that do not identify the Customer or any individual may be used to operate and improve the Service (including anonymised category benchmarks with a minimum aggregation threshold).
9. Confidentiality
Each party shall protect the other's confidential information with at least reasonable care and use it only to perform under these Terms, as further described in the Confidentiality Policy.
10. Warranties and Disclaimers
10.1 We warrant that the Service will materially conform to its documentation.
10.2 EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. ANALYTICS, PROFITABILITY FIGURES, RECONCILIATION RESULTS AND SUGGESTIONS ARE DECISION-SUPPORT AIDS BASED ON DATA AVAILABLE TO THE SERVICE AND DO NOT CONSTITUTE FINANCIAL, TAX OR LEGAL ADVICE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, GOODWILL OR DATA; AND (b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY THE CUSTOMER TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. NOTHING LIMITS LIABILITY FOR FRAUD, WILFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE LIMITED UNDER INDIAN LAW.
12. Indemnity
The Customer shall indemnify EcomSarthi against third-party claims arising from: (a) Customer Data; (b) the Customer's breach of law or Marketplace policies; or (c) misuse of the Service, except to the extent caused by our breach of these Terms.
13. Suspension and Termination
We may suspend or terminate access as described in the Account Suspension & Termination Policy. The Customer may terminate at any time from account settings; effects on data are described in the Data Deletion and Data Retention Policies. Sections intended to survive (including 8–12 and 14) survive termination.
14. General
These Terms, together with the policies referenced herein (which are incorporated by reference), are the entire agreement. Neither party may assign without consent, except to an affiliate or in a merger/acquisition. Notices may be sent by email to the Customer's registered address and to [LEGAL_EMAIL — e.g., legal@ecom10x.in] for us. If any provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver. We are not liable for delays caused by events beyond reasonable control (force majeure).
Governing Law & Dispute Resolution
This document is governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with this document shall first be attempted to be resolved amicably through good-faith negotiation within thirty (30) days of written notice. Failing amicable resolution, the dispute shall be referred to arbitration by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be [JURISDICTION_CITY — e.g., New Delhi], India, and proceedings shall be conducted in English. Subject to the foregoing, the courts at [JURISDICTION_CITY — e.g., New Delhi], India shall have exclusive jurisdiction.
