Confidentiality Policy
How confidential information is defined, protected and handled by both parties.

1. Definition
"Confidential Information" means non-public information disclosed by one party to the other in connection with the Service, including Customer Data, Marketplace Data, business plans, pricing, security details, and product roadmaps — whether marked confidential or reasonably understood to be so. It excludes information that is public without breach, already lawfully known, independently developed, or lawfully received from a third party without restriction.
2. Obligations
Each party shall: (a) use the other's Confidential Information solely to perform under the Terms; (b) protect it with at least the same care it uses for its own similar information, and never less than reasonable care; (c) restrict access to personnel and subprocessors who need it and are bound by confidentiality duties no less protective; and (d) promptly notify the other of any unauthorised use or disclosure.
3. Our Specific Commitments
- Customer Data is accessed by our personnel only for support, security, or legal compliance — and access is logged.
- Marketplace tokens are treated as highest-sensitivity secrets: encrypted, masked, never logged, never shared.
- We do not use one customer's Confidential Information for another customer's benefit. Anonymised, aggregated benchmarks never expose any identifiable customer (minimum aggregation threshold applies).
4. Compelled Disclosure
Disclosure required by law, regulator or court is permitted, provided (where lawful) prompt notice is given so the disclosing party may seek protection, and disclosure is limited to what is required.
5. Duration
Confidentiality obligations apply during the agreement and for 3 years after termination; for trade secrets and Marketplace tokens, for as long as the information remains a trade secret or sensitive.
6. Return / Destruction
On termination, each party shall delete or return the other's Confidential Information per the Data Deletion Policy, except archival copies required by law, which remain protected under this Policy.
Governing Law & Dispute Resolution
This document is governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with this document shall first be attempted to be resolved amicably through good-faith negotiation within thirty (30) days of written notice. Failing amicable resolution, the dispute shall be referred to arbitration by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be [JURISDICTION_CITY — e.g., New Delhi], India, and proceedings shall be conducted in English.
